GENERAL CONDITIONS OF SALE FOR PROFESSIONALS ROSE AND MARIUS
1- ORDERS AND REASSORTMENT:
Orders which are always subject to the provision of a numbered voucher from us are only taken into consideration after payment of a deposit.
The Rose et Marius price is exclusively reserved for professionals who resell the Rose et Marius collections in stores and hotels. The points of sale must present a standing confirming to the brand image desired by Rose and Marius.
Items can only be ordered in the sales units specified in the professional catalog at the current price.
• FRANCE AND ABROAD:
Set up :
The installation of the collection of the Rose et Marius collection costs 1500 euros excluding tax. The buyer must respect the minimum quantity per collection, indicated in the professional catalog.
Restocking: minimum restocking of 500 euros with payment on proforma.
Any order, excluding backorders, less than 1000 euros will be subject to additional management fees.
Transport: Organized by Rose and Marius and invoiced to the buyer unless otherwise instructed when ordering.
2- DEADLINES:
Deadlines are given for informational purposes only. Possible delays cannot under any circumstances constitute grounds for damages, cancellation of order or refusal of goods.
3- FORTITUTE EVENTS AND FORCE MAJEURE:
The seller is released from his delivery obligation for all fortuitous events or cases of force majeure such as fire, total or partial strike.
4- SHOULD:
Submission of the quote does not constitute a commitment for immediate execution. The prices appearing on our quotes are valid for a period of 30 days.
5- PRICE:
Prices are stated in EUR, excluding tax and ex warehouse (EX Works).
They are revisable on January 1 of each year and will be communicated on
buyer's request
6- ORDER MODIFICATIONS can only be accepted to the extent that they do not disrupt manufacturing or supply. They could, if necessary, give rise to an increase in the prices announced and would determine a new delivery time. In the event of order cancellation, the deposit paid by the customer will be retained by SARL ROSE ET MARIUS for compensation.
7- CLAIMS IN CASE OF DELIVERY BY CARRIER:
The buyer is required to check the goods at the time of delivery and in the event of damage due to transport must mention on the delivery note the reservations he intends to make regarding the condition of the furniture received. 8- IN CASE OF NON-CONFORMITY: of the goods in relation to the characteristics provided for in the order or in the event of an apparent defect sold, the buyer has a period of 24 hours from delivery, not including Sundays and public holidays, to notify the seller, failing which it will be foreclosed. Any defect resulting from clumsiness or incorrect action by the buyer cannot be attributed to us.
9- RETURNS:
No returns will be accepted unless previously agreed with the sales department and under no circumstances with carriage due. Transport costs and all other return costs are the sole responsibility of the buyer. Returns must be made in the original packaging or other suitable packaging.

10-PAYMENT
30% will be paid upon ordering and 70% before delivery of the order. 11- PRODUCT CONFORMITY:
We are unable to ensure absolute conformity from one product to another in relation to the collections given the handmade nature and the natural products used, particularly in our Eaux de Toilette collections.
We work on our lines in limited editions, so we reserve the right to deliver a model similar to your order if the model ordered is sold out. If you refuse, please inform us when placing your order.
12- RESERVATION OF OWNERSHIP CLAUSE:
The seller reserves ownership of the goods delivered until full payment of all supplies due at the end of this contract. To take advantage of this clause, it will be sufficient for the seller to make known his formal wish to have the goods returned by a
simple registered letter with acknowledgment of receipt addressed to the buyer or possibly to his agent or judicial administrator. The buyer will be responsible for the goods placed in his hands upon their physical delivery, the transfer of possession entailing the transfer of risks. The buyer must therefore take all measures and, where applicable, all insurance to compensate for the possible partial or total destruction of the goods whatever their origin.
13- COMMUNICATION et INTERNET :
The buyer undertakes not to use the trademark registered by ROSE ET MARIUS, not to present/offer referenced products from the supplier via the internet network on a site with national or international distribution that it operates directly or indirectly without written agreement from ROSE ET MARIUS
14- EXCLUSIVITY:
In the case of territorial exclusivity, the customer accepts that Rose and Un bain de soleil avec marius can distribute its products via its website.
15- COMPETENCE :
In the event of a dispute relating to the application of these terms, only the Commercial Court of AIX EN PROVENCE will have jurisdiction even in the event of a warranty claim and multiple defendants, notwithstanding any clause to the contrary.
